Minutes of the Board of Directors Conference Call
June 29, 2001

A QCS Board of Directors meeting was held by telephone conference call on June 29, 2001.

Greg Marrs, Chairman, called the meeting to order at 12:00 noon EDT. The directors participating included:

Mark Witherspoon At-Large Representative

Ken Crandall, Processing Centers Advisory Committee Representative, was unable to participate in the call. Michael Rector, President of QCS; Paul Miller, Secretary and Treasurer of QCS; and David Youngman also participated in the call.

The long lame duck period for directors between election of Chairpersons of the Advisory Committees in July and the election of QCS Directors at the National DHIA meeting in the spring was discussed. A written plan for this transition prepared by Michael Rector is appended to these minutes and was discussed. Bruce Dokkebakken moved to accept the plan as written, and the motion carried.

Michael Rector reviewed the status of QCS Audits for 2001. Eight field service audits have been conducted to-date in 2001, three audits scheduled in June have been deferred to early July at the request of their managers, three audits are scheduled for July, and two are scheduled for August. It is anticipated that all remaining 2001 audits will be conducted on time.

There ensued a lengthy discussion about QCS procedures and how to get reports completed quicker.

Michael Rector reviewed changes in audit fees for 2001, which he proposed in a document distributed in advance of the meeting. This document specified current fees for audits, problems, and specific recommendations for change, and is appended to these minutes. It was consensus of the directors that the proposed changes made the fee structure too complex and that a simpler fee structure is needed. Detailed discussion was deferred until the July meeting in Cleveland.

There was discussion about pseudo-mergers for the purpose of QCS audits. Serious questions were raised about this procedure.

Paul Miller presented guidance from the National DHIA board that QCS include at least 5% margin of income over expenses to begin paying down loans for past deficits and building an operating reserve.

Chairman Marrs instructed Michael Rector to prepare a draft budget including staffing for two employees for review and refinement at the July board meeting.

Mark Witherspoon expressed displeasure with communications with directors and hung up on the call.

The next meeting of the QCS Board of Directors is scheduled for July 18 in Cleveland. Agenda items include:

1. The QCS Budget for 2002.
2. Preparation of a bid for the contract to conduct CDCB audits for 2001 and beyond.
3. Resolution of the Central Valley Dairy Lab protein testing violation.
4. QCS policy regarding complaint resolution.

The meeting was adjourned at 1:45 PM.
